1. About these terms
1.1 These Terms of Service (the Terms) are an agreement between Boffin Coders Private Limited, CIN U72900PB2017PTC046403, registered office C 201-202 (B), Cyber Cube, Phase 8B, Industrial Area, Sector 74, Mohali, Punjab 160055 (we, us), and the school, trust, society, company or other institution that subscribes to Acadvio (the Customer).
1.2 The Customer accepts these Terms by signing an order form or quotation that refers to them, by accepting them online, or by using the service. The person accepting confirms they are authorised to bind the Customer. An agreement made electronically is valid under section 10A of the Information Technology Act, 2000.
1.3 The agreement is made up of the order form, these Terms, the Data Processing Addendum and the Acceptable Use Policy. If they conflict, the order form prevails, then the Data Processing Addendum (for personal data), then these Terms.
2. Definitions
- Service: Acadvio, our school management software, provided online through the web portal and the mobile apps, with the modules listed in the order form.
- Order form: the order form, quotation or agreement signed by the Customer, with the plan, schools, fees and term.
- Users: people the Customer allows to use the Service: staff, parents and guardians, and anyone else it invites.
- Customer Data: data the Customer or its Users put into the Service, including personal data of students, parents and staff.
- Subscription term: the period in the order form, and each renewal.
3. The Service
3.1 We provide the Service to the Customer for the subscription term, for the schools in the order form.
3.2 Some modules, such as fees and online payments, are switched on for a school by us once it has been set up for them. Online fee collection also needs the Customer’s own account with our payment partner (see clause 8).
3.3 We improve the Service over time and may change or retire features. If a change materially reduces a feature the Customer relies on, we will tell the Customer at least 30 days ahead, and the Customer may end the affected part of the subscription with a pro-rata refund of prepaid fees for it.
3.4 Features we mark as early access, preview or pilot are provided as they are, may change, and are not covered by the commitments in clauses 13 and 17.
4. Accounts and roles
4.1 The Customer names at least one administrator. Administrators create Users, give them roles (for example principal, accountant, front office, teacher) and remove access when someone leaves.
4.2 The Customer is responsible for what its Users do in the Service and for keeping sign-in details private. It must tell us promptly of any suspected unauthorised access.
4.3 Parents and guardians use the Service at the invitation of their school; the school is their first point of contact.
5. The Customer’s responsibilities
5.1 Under the Digital Personal Data Protection Act, 2023, the Customer is the Data Fiduciary for Customer Data and we are its Data Processor. The Customer decides what personal data to collect and why.
5.2 The Customer is responsible for having a lawful basis for the personal data it puts in the Service, including the verifiable consent of a parent or lawful guardian for children’s data where the law requires it, and for its own notices to parents, students and staff. The Service provides tools to ask for, record and withdraw parental consent.
5.3 The Customer is responsible for the accuracy of the data it enters, and for the fee structures, rules, concessions and approvals it configures. Legal values provided as presets (such as the cash limit, RTE settings and the 80C certificate wording) are a starting point; the Customer should confirm them with its own advisers.
5.4 The Customer will comply with the laws that apply to it, including education, fee-regulation and tax laws.
6. Acceptable use
6.1 The Customer and its Users must follow the Acceptable Use Policy. We may remove content or suspend access that breaks it, as set out in clause 14.
7. Fees, taxes and payment
7.1 The fees, the billing period and what they cover are set out in the order form. Unless it says otherwise, fees are billed annually in advance.
7.2 Fees exclude GST and other taxes, which are added at the applicable rate. Our GSTIN is 03AAHCB2157K1ZT. If the law requires the Customer to deduct tax at source, it may do so and will send us the certificate.
7.3 Invoices are payable within the period in the order form or, if none is stated, within 15 days of the invoice date, by bank transfer or another method we accept. Disputes about an invoice must be raised in writing within that period; the undisputed part remains payable.
7.4 If an undisputed invoice stays unpaid 15 days after we send a written reminder, we may suspend the Service until it is paid. Customer Data is not deleted because of late payment while the agreement continues.
7.5 Fees for a renewal may change. We will tell the Customer of any change at least 60 days before the renewal date.
7.6 Cancellations and refunds of subscription fees are covered by our Refund and Cancellation Policy.
8. School fees collected online
8.1 Where the Customer uses online fee collection, parents pay the school through Cashfree Payments inside the Acadvio app. The Customer is the merchant of record: it holds its own account with Cashfree, completes KYC in its own name, and payments settle to its own bank account.
8.2 We do not receive, hold, route or split school fees and are not a party to the payment. The Customer’s agreement with Cashfree governs charges, settlement, refunds and chargebacks. By default the Customer absorbs gateway charges.
8.3 Refunds of school fees follow the Customer’s own fee and refund policy and are made by the Customer.
9. Pilot programme
9.1 Schools in our pilot programme agree pilot terms with us in writing (for example the pilot period, the modules included and any commercial terms). Those terms prevail for the pilot; these Terms apply to everything else.
9.2 Feedback a pilot school gives us may be used to improve the Service, without payment, and does not include Customer Data.
10. Customer Data
10.1 The Customer owns Customer Data. We use it only to provide, secure and support the Service, as set out in the Data Processing Addendum (v2026-10-16).
10.2 Customer Data is stored in India. Any transfer outside India follows section 16 of the Digital Personal Data Protection Act, 2023.
10.3 We do not sell Customer Data, use it for advertising, or use children’s data for tracking, behavioural monitoring or profiling.
11. Intellectual property
11.1 The Service, its software, design and documentation belong to us or our licensors. The Customer gets a non-exclusive, non-transferable right for its Users to use the Service during the subscription term, for its own schools.
11.2 The Customer must not copy, resell, sublicense, reverse-engineer or build a competing product from the Service, except as the law expressly allows.
11.3 The Customer’s name, logo and domain remain its own; it allows us to show them in the Service for its Users (white-label).
12. Confidentiality
12.1 Each party will keep the other’s confidential information confidential, use it only for this agreement, and share it only with people who need it and are bound by similar duties. Customer Data is the Customer’s confidential information.
12.2 This does not apply to information that is public, already known, independently developed, or that must be disclosed by law or a court or regulator (with notice to the other party where allowed).
13. Availability, support and maintenance
13.1 We use reasonable skill and care to keep the Service available and secure and to fix faults promptly. We do not promise a particular uptime percentage unless the order form says so.
13.2 We schedule planned maintenance outside school hours where we can and give advance notice of planned downtime that may affect school hours.
13.3 Support is provided by email and phone (info@boffincoders.com, +91 90560 28013) and as set out in the order form.
14. Suspension
14.1 We may suspend a User or the Service, in whole or part, if needed to stop a security threat, a serious breach of the Acceptable Use Policy, unlawful use, or non-payment under clause 7.4. We will give notice first where we reasonably can, limit the suspension to what is needed, and restore access once the cause is fixed.
15. Term, renewal and termination
15.1 The subscription runs for the term in the order form (usually one year) and renews for the same period unless either party cancels by written notice at least 30 days before the renewal date.
15.2 Either party may end the agreement by written notice if the other materially breaches it and does not fix the breach within 30 days of notice, or becomes insolvent or stops doing business.
15.3 We may end the agreement or stop offering the Service for convenience with at least 90 days’ notice; we then refund the prepaid fees for the unused part of the term.
15.4 Clauses 10, 11, 12, 16, 18, 19, 24 and 25 survive the end of the agreement.
16. Exit and Customer Data
16.1 Before or on termination, on request, we provide an export of Customer Data in a common machine-readable format (JSON records and CSV registers): names, admission and roll numbers, classes and sections, attendance, marks, fee records and other school records. To protect students, parents and staff, no bulk file from Acadvio contains private personal details: contact details, identity numbers, dates of birth, addresses, health, bank or payment details, and stored documents and photos are left out. Until the exit date, authorised staff can view those details one record at a time in Acadvio.
16.2 We delete Customer Data within 90 days after the Customer confirms it has received the export (or, if it does not ask for one, within 90 days after the agreement ends), unless the law requires us to keep it. Encrypted backup copies are removed by our normal backup cycle, within about five weeks.
17. Warranties and disclaimers
17.1 Each party confirms it has the power to enter into this agreement.
17.2 We will provide the Service with reasonable skill and care and substantially as described in its documentation. Apart from that, and to the extent the law allows, the Service is provided as it is, without other warranties, express or implied. The Service helps the Customer run its school; decisions on admissions, results, fees and records remain the Customer’s.
18. Limitation of liability
18.1 Neither party is liable for indirect or consequential loss, or for loss of profit, revenue, goodwill or data that could have been avoided by reasonable steps, however caused.
18.2 Each party’s total liability arising out of or in connection with this agreement, in contract, tort or otherwise, is limited to the fees paid by the Customer under the agreement in the 12 months before the event giving rise to the claim.
18.3 These limits do not apply to liability for fraud or wilful misconduct, to the Customer’s obligation to pay fees, or to any liability that cannot be limited by law.
19. Indemnity
19.1 We will defend the Customer against a third-party claim that the Service infringes that party’s intellectual property rights in India, and pay the damages finally awarded, provided the Customer tells us promptly, lets us control the defence and cooperates.
19.2 The Customer will defend us against a third-party claim arising from Customer Data it had no right to collect or share, including a lack of required parental consent, or from its Users’ breach of the Acceptable Use Policy, on the same conditions.
20. Force majeure
20.1 Neither party is liable for delay or failure caused by events beyond its reasonable control, such as natural disasters, epidemics, war, government action, or failures of the internet, power or third-party networks, provided it tells the other party and takes reasonable steps to limit the effect. Payment obligations are not excused. If such an event lasts more than 60 days, either party may end the affected part of the agreement by notice.
21. Notices
21.1 Notices must be in writing and may be sent by email to the contacts named in the order form or, for us, to info@boffincoders.com, with a copy by post to the registered office for notices of breach or termination. A notice sent by email is received when it arrives, unless the sender gets a delivery failure.
22. Assignment and subcontracting
22.1 Neither party may assign this agreement without the other’s written consent, not to be unreasonably withheld, except to a successor in a merger or sale of the business. We may use sub-processors and subcontractors as set out in the Data Processing Addendum and remain responsible for them.
23. Changes to these Terms
23.1 We may update these Terms. We will give at least 30 days’ notice of a material change; for a Customer with a current subscription, a change that reduces its rights applies from its next renewal unless it agrees sooner. The date at the top shows the latest version.
24. Governing law and disputes
24.1 These Terms are governed by the laws of India.
24.2 The parties will first try to settle any dispute by good-faith discussion between senior representatives within 30 days of written notice.
24.3 If it is not settled, either party may refer it to arbitration by a sole arbitrator appointed by agreement of the parties or, failing agreement within 30 days, under section 11 of the Arbitration and Conciliation Act, 1996. The seat of arbitration is Mohali, Punjab; the language is English.
24.4 Subject to clause 24.3, the courts at SAS Nagar (Mohali), Punjab have exclusive jurisdiction. Either party may seek urgent interim relief from those courts at any time.
25. General
25.1 This agreement is the entire agreement on its subject and replaces earlier discussions on it.
25.2 If any part is found unenforceable, the rest remains in force. A delay in enforcing a right is not a waiver of it.
25.3 The parties are independent contractors. Nobody else has rights under this agreement.
25.4 The agreement may be signed electronically and in counterparts.
